Client Agreement

This CONFIDENTIALITY AGREEMENT (“AGREEMENT”) is made effective (Today’s Date) by AUDIOLOGY PRACTICE BUILDERS, LLC (“APB”), A North Carolina Corporation and (Company).

Mutual Indemnification.  APB and (Company). shall mutually defend, indemnify and hold the other party and its directors, officers, employees and agents, and the Participating Members harmless from any and all claims, including without limitation, third party claims, arising out of the manufacture or distribution of the products ordered on behalf of MEMBER where such claim is based on acts or omissions of each party, or each party’s employees or agents. In no event shall APB have any liability for any action or omission of the Manufacturers or other manufacturer or distributor of the product(s).

Confidentiality.  APB and (Company) mutually agree to maintain as confidential all information regarding the activities, business, performance, and other programs and processes learned about or provided by the other party.

IN WITNESS WHEREOF, each of the parties has caused a duly authorized officer or agent to execute this Agreement as of the date first above written.
